Effective Date: January 1, 2025. These Terms & Conditions (“Terms”) govern your use of MusicWire and all related services provided by FiltrMedia, Inc. (“FiltrMedia,” “we,” “us,” or “our”). MusicWire is a press release distribution and media communication platform for the music industry provided by FiltrMedia. By accessing or using MusicWire (the “Service”), whether as a visitor, registered user, or content submitter (“You”), you agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service. We reserve the right to modify these Terms at any time; any changes will be effective upon posting the revised Terms on this site. You are responsible for regularly reviewing the Terms. Your continued use of MusicWire after changes means you accept those changes.
1. Use of MusicWire
MusicWire provides a secure platform for authorized users to upload, submit, distribute, and read music-related press releases, announcements, and media content to targeted media and industry audiences. Use of the Service is limited to these purposes only. You agree not to:
- Unauthorized Use: Use MusicWire for any purpose other than distribution and retrieval of music industry press releases, news, events, or announcements. You may not aggregate, store, reproduce, republish, or distribute content (including press releases or published materials) obtained from MusicWire except as expressly permitted by FiltrMedia. You may not use MusicWire to compete with FiltrMedia or another user.
- Interference: Interfere with, disrupt, or attempt to disrupt the operation of the Service or its servers or networks. This includes (without limitation) transmitting viruses, worms, Trojan horses, or other disabling features, or any actions that may burden or hinder the infrastructure.
- Impersonation: Impersonate any person or entity, or use another person’s credentials or identity without authorization. You may not misrepresent your affiliation with any person or entity.
- Infringement or Unlawful Content: Upload, post, or transmit any content that violates any third party’s rights (including copyright, trademark, privacy, publicity, or other personal or proprietary rights) or that is otherwise illegal, offensive, harmful, threatening, abusive, harassing, defamatory, obscene, vulgar, invasive of privacy or publicity rights, or racially, ethnically, or otherwise objectionable. You must have all necessary rights and permissions for any content you submit.
- Harassment and Harm: Harass, stalk, intimidate, or cause harm to others. You may not use MusicWire to send unsolicited communications (spam), harassing messages, or advertising without FiltrMedia’s prior written consent.
- Security Violations: Violate or attempt to violate the security of the Service, including by probing, scanning, or testing vulnerability of the Service; breaching security or authentication measures; or interfering with another user’s use of the Service. Automatic or manual scraping of the site (beyond normal browsing) is prohibited unless expressly permitted.
Any use of MusicWire in violation of these Terms may result in termination of your access and account. FiltrMedia reserves the right to report illegal activities to law enforcement. You are responsible for all activities on your account and for maintaining the confidentiality of your login credentials.
2. Intellectual Property
All content on MusicWire, including the site design, text, graphics, logos, icons, images, audio and video clips, software, and all other materials (“Content”) is owned by FiltrMedia or its licensors and is protected by U.S. and international intellectual property laws. The name “MusicWire,” the FiltrMedia logo, and all associated trademarks are trademarks of FiltrMedia. You are granted a limited, non-exclusive, non-transferable license to access and use the Service solely for the purposes described in Section 1, subject to these Terms. Any other use of the Content, including copying, modifying, distributing, selling, or creating derivative works, without FiltrMedia’s prior written permission, is strictly prohibited.
Your Content and License to Us
If you submit or upload content (such as press releases, articles, images, video, or audio) to MusicWire, you retain ownership of your copyrighted content. However, by submitting content you grant FiltrMedia and its affiliates a worldwide, royalty-free, perpetual, non-exclusive license to use, reproduce, distribute, display, and transmit that content in connection with the Service and FiltrMedia’s business (for example, for distributing your press release to media outlets, or posting on our site). You further agree that we may sublicense this license to other users and third parties (e.g. newspapers, media outlets, streaming platforms) for distribution purposes. You represent and warrant that you have all necessary rights, permissions, and consents for FiltrMedia to use and distribute your content as described, and that your content does not infringe any third-party rights. FiltrMedia reserves the right (but is not obligated) to refuse or remove any content that it believes violates these Terms or is unlawful.
3. Disclaimer of Warranties
Use at your own risk. MusicWire and all Content and services provided through it are offered “as is,” “as available,” with all faults. FiltrMedia (and its officers, directors, employees, agents, licensors, and affiliates) expressly disclaims all warranties of any kind, whether express or implied. Without limiting the foregoing, FiltrMedia does not warrant that MusicWire will be uninterrupted, secure, or error-free; nor does it warrant the accuracy, completeness, or reliability of any Content or service. FiltrMedia makes no warranty that MusicWire or any part of it, or the servers that make it available, are free of viruses or other harmful components. TO THE EXTENT PERMITTED BY LAW, FILTRMEDIA DISCLAIMS ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
Any content or advice obtained through MusicWire is at your own discretion and risk. You are responsible for verifying any information or results. FiltrMedia does not guarantee any specific results from using the Service.
4. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, FiltrMedia, its affiliates, officers, directors, employees, agents, and licensors will NOT be LIABLE for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising from or related to your use of (or inability to use) MusicWire, even if FiltrMedia has been advised of the possibility of such damages. FiltrMedia will not be liable for any errors, omissions, or inaccuracies in the service, or any content obtained through the service.
In jurisdictions where such exclusions or limitations are not allowed, FiltrMedia’s liability is limited to the fullest extent permitted by law. In no event will FiltrMedia’s total liability arising out of or in connection with these Terms or your use of MusicWire exceed the amount you have paid FiltrMedia for the applicable service (or, if you have not paid any fees, $100).
5. Third-Party Content and Links
MusicWire may contain links to third-party websites or content that FiltrMedia does not control. FiltrMedia does not endorse or assume responsibility for any third-party content, products, or services, or privacy and security practices. If you access a third-party site from MusicWire, you do so at your own risk and subject to that site’s terms. FiltrMedia encourages you to review the terms and privacy policies of any sites you visit.
6. Indemnification
You agree to defend, indemnify, and hold harmless FiltrMedia and its officers, directors, employees, affiliates, agents, licensors, and suppliers from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of MusicWire; (b) your violation of these Terms; (c) your violation of any law or third-party rights; or (d) any content you submit, upload, or transmit through MusicWire.
7. Governing Law and Disputes
These Terms are governed by and construed in accordance with the laws of the State of California, USA (regardless of choice of law principles). You and FiltrMedia submit to the exclusive jurisdiction of the courts located in San Francisco County, California for any disputes arising out of or related to these Terms or your use of MusicWire. You expressly agree to this choice of jurisdiction and waive any objections.
8. Changes to Terms
FiltrMedia may modify these Terms at any time for any reason. When we do, we will update the Effective Date above. All changes are effective immediately when posted. Your continued use of MusicWire after any changes constitutes acceptance of the new Terms. We encourage you to review this page before using MusicWire each time.
9. Miscellaneous
- Rights Reserved: Except as explicitly stated in these Terms, FiltrMedia does not grant you any rights or licenses to its intellectual property, other than as expressly provided above. All rights not expressly granted are reserved.
- Waiver: Our failure to insist on strict compliance with any provision of these Terms will not be deemed a waiver of any rights we may have.
- Severability: If any provision of these Terms is held invalid or unenforceable, that provision shall be enforced to the maximum extent permissible and the remaining provisions will remain in full force.
- Entire Agreement: These Terms constitute the entire agreement between you and FiltrMedia regarding MusicWire and supersede all prior agreements.
